Terms of Service
The agreement between you and CS Digital Wonders for using SemPost on the web and in the Shopify app.
Version and validity
- Version: 30 October 2026
- Last updated: 30 October 2026
- Who these Terms are from: CS Digital Wonders LLC ("CS Digital Wonders", "we"), a limited liability company organized under the laws of the State of Wyoming, USA, 30 N Gould St Ste N, Sheridan, WY 82801, USA. SemPost is a product of CS Digital Wonders. Section 42 explains how to reach us.
- How we announce changes: before a material change takes effect, we email it to account holders, and from the day it takes effect we ask you to accept it in the app. Smaller changes are listed in the "Changes" table at the end of this page. Section 38 explains this.
- These Terms also exist in Turkish. Section 40 says which version governs.
1. The short version
This summary helps you find your way. The full Terms below are what count.
- SemPost turns products from your store or from product pages into social media posts, images, videos and music, and schedules or publishes them on your social accounts.
- The person who opens a workspace (its owner), or the business that person acts for, is our customer. Team members act for the owner.
- New workspaces start in test mode: nothing is published until an owner or admin switches on live publishing.
- You check what the AI makes before it goes out. You are responsible for what you publish.
- Paid plans renew automatically every month or every year until you cancel. On the web, Link (Stripe) sells the subscription and takes the payment. In the Shopify app, Shopify bills you.
- Credits pay for AI work. They have no cash value and they expire.
- Consumers have extra rights, including a 14-day right of withdrawal in the EU, the EEA, the UK and Turkey. Section 19 explains them.
- You can download your data and delete your account or workspace at any time.
2. Who we are and what these Terms cover
These Terms of Service ("Terms") govern your use of SemPost:
- the web app at app.sempost.ai;
- the Shopify app "SemPost: AI Social Media Posts", which runs inside the Shopify admin from embed.sempost.ai;
- our websites www.sempost.ai and docs.sempost.ai; and
- the emails we send about the service.
"We", "us" and "our" mean CS Digital Wonders LLC, the company that provides SemPost.
The following policies form part of these Terms: the Acceptable Use Policy, the AI Content Policy, the Refund and Cancellation Policy and the Platform Terms. If you are a business customer and we process personal data on your behalf, the Data Processing Agreement also forms part of them.
Our Privacy Policy, KVKK Information Notice and Cookie Policy explain how we handle personal data. They inform you; you do not accept them as contract terms.
3. Definitions
- Account: the login of one person (a "user").
- Workspace: the shared space in SemPost where a team connects stores and social accounts, creates posts and uses credits. Each workspace has its own plan, credits and billing.
- Owner, admin, editor, viewer: the roles a user can have in a workspace (Section 8). A member is any user who belongs to a workspace.
- Customer or you: the party to this contract, that is the owner of a workspace or the business the owner acts for (Section 4). Where a rule is about each person's own use of SemPost, for example account security, "you" also means each user.
- Consumer: a natural person who uses SemPost for purposes outside their trade, business, craft or profession. For customers in Turkey, the definition in Law 6502 on Consumer Protection applies, which also covers legal persons acting for such purposes. A business customer is any customer who is not a consumer.
- Your Content: everything you or your members put into SemPost or ask SemPost to read: product data, photos, videos, texts, brand settings, prompts and instructions, post texts, comment-to-DM messages, and the data SemPost reads from your stores, product pages and social accounts.
- Outputs: the texts, images, videos, audio and other results SemPost makes for you, with AI or with our own tools.
- Credits: the units you use to pay for AI and processing work in SemPost (Section 14).
- Plan: a paid subscription (Starter, Growth, Pro or Agency) or the free trial.
- Store: a connected Shopify store, a WooCommerce store or a product page address that SemPost reads products from.
- Social account: an account on a social network that you connect to SemPost. Network: the social network itself, for example Instagram or YouTube.
- Gateway: Zernio, the third-party social media API service through which SemPost connects to networks and publishes.
- Link: Link (Stripe), which sells SemPost subscriptions and credit packs on the web as merchant of record (Section 15).
- Test mode and live mode: the two publishing modes of a workspace (Section 11).
4. Who our contract is with
- When you open a workspace, you become its owner and the contract under these Terms is between you and us. If you open the workspace for a business or another organisation, the contract is with that organisation, and you confirm that you may bind it.
- In the Shopify app, the store owner becomes the owner of the workspace, and the contract is with the business that runs the store.
- Members use SemPost on the owner's behalf. Each member also accepts these Terms for their own use of SemPost, for example the rules on account security and acceptable use. The owner is responsible for what members do in the workspace.
- One person can belong to several workspaces. Each workspace is a separate customer relationship with its own plan and billing.
- If ownership of a workspace passes to another person, the new owner takes over this contract for that workspace.
- We sell to both businesses and consumers. Rules marked for business customers apply only to them. Section 19 adds the rules for consumers.
5. Who can use SemPost
- You must be at least 18 years old and able to enter into a binding contract.
- You must give true and complete information when you sign up and keep your email address up to date. We send important notices there.
- You may not use SemPost if Section 37 (sanctions) prevents it, or if we have ended your access before for a serious breach, unless we agree.
- The free trial is available once per account and once per Shopify store (Section 13).
6. How the contract is formed
On the web:
- You sign up with your name, email address and a password, pass a security check and accept these Terms.
- You confirm your email address with the link we send you. You cannot sign in before you do.
- Your first workspace opens with a free 7-day trial (Section 13).
- To buy, the owner chooses a plan, billing period or credit pack on the Billing page, where we show the price before tax, the credits and the limits. A window then shows what the owner is buying, its price and, for a plan, how it renews, links to the documents that apply and asks the owner to confirm that SemPost starts at once (Section 19.1). If the purchase may be a consumer's in Turkey (the workspace's country is Turkey, or the owner uses SemPost in Turkish), a separate box in the same window asks the owner to confirm that they have read the Turkish pre-contract information form and distance service contract (Section 19.2). The owner then goes to Link's payment page, which shows the total including tax.
- The purchase is made when Link confirms the payment. Link emails you a receipt and an invoice, the app confirms the purchase, and we email you a confirmation (see "Order confirmation" below).
An extra social account is bought from the Social accounts page in the same way: a window shows what is bought, its price and how it is charged (the share for the rest of the current period now, then with each renewal), asks for the same confirmations, and the share is taken from the saved payment method, or on Link's payment page when your bank asks you to approve it.
By invitation: you receive an email invitation, create your account and accept these Terms, and then join the workspace.
In the Shopify app: you install the app from the Shopify App Store and choose a plan on Shopify's plan page. Every page of SemPost links to these Terms and our privacy notices at the bottom. By using SemPost you accept these Terms; the first time you open it, we record your acceptance with the time and the version of these Terms .
Correcting mistakes: before you pay, you can go back from Link's payment page and choose another plan, period or pack, and you can check and correct the details you enter on Link's page. After you pay, contact us (Section 42).
Languages: you can conclude the contract in English or Turkish.
Keeping the contract: we record which version of these Terms you accepted, when and how , and the confirmations you give before a purchase with the version of the texts they refer to. This page always shows the current version, the "Changes" table lists earlier versions, and we send you the version you accepted if you ask. You can save or print this page at any time.
Order confirmation: when you buy a plan, a credit pack or an extra social account on the web, we email you a confirmation once the payment has gone through. It states what you bought, for how much and when, repeats what you confirmed before paying (Section 19.1 and, in Turkey, Section 19.2), tells you how to withdraw and links to the documents that apply. Link also emails a receipt and an invoice for every web payment. Shopify shows Shopify charges on your Shopify bill.
Codes of conduct: we have not signed up to any code of conduct.
Business customers: where the law allows parties who are not consumers to agree on different pre-contract information and order confirmation rules, this section is all we agree to provide.
7. Your account and security
- Passwords: at least 12 characters. We refuse very common passwords and passwords that appear in known data breaches. For the breach check we send only the first 5 characters of a hash of the password to the Have I Been Pwned service, never the password.
- Two-factor authentication: you can switch on an authenticator app with recovery codes. Workspace owners can require it for their team.
- Sessions: you stay signed in for up to 30 days, or until 7 days pass without activity. You can see your sessions and end them in Settings › Security. Changing or resetting your password ends your other sessions.
- Protection against attacks: after failed sign-in attempts we may ask for a security check and lock the account for a while.
- In the Shopify app you sign in with your Shopify login, and Shopify protects it. Accounts opened from Shopify have no SemPost password; to use app.sempost.ai directly, set one with "Forgot your password?" on the sign-in page. A workspace's two-factor authentication rule applies on app.sempost.ai, also when you open SemPost from Shopify in a new tab.
- Your duties: keep your login details secret, use your own account (every person needs a seat of their own, Section 8), and tell us at once at [email protected] if you think someone else has used your account. The Security page explains how to report security problems.
8. Workspaces, roles and invitations
| Role | What it can do |
|---|---|
| Owner | Everything, including purchases, the subscription and deleting the workspace |
| Admin | Settings, store and social account connections, the team, approving and publishing posts, automation rules |
| Editor | Create and edit content and send it for approval; cannot approve or publish |
| Viewer | Read only |
- Seats: members and pending invitations count against the plan's seats (Section 13).
- Invitations: owners and admins invite people by email. The email shows the inviter's name and email address and the workspace's name. An invitation is valid for 7 days.
- What members see: every member sees the other members' names, email addresses, roles and whether they use two-factor authentication. Owners and admins see the workspace's audit log: who did what and when, with members' IP addresses shortened . Changes our support team makes in your workspace appear in the audit log as "SemPost support".
- Removing a member ends their access to the workspace. The audit log keeps the record of what they did.
- In the Shopify app: the store owner becomes the owner of the workspace and other staff become editors the first time they open SemPost. If a staff member opens SemPost for a store before its owner, that person is an admin until the store owner opens SemPost, and then ownership passes to the store owner.
9. What SemPost does
- Stores: SemPost reads products from a Shopify store (through our Shopify app, or through a custom app you create in your Shopify admin), from a WooCommerce store (read-only keys or the public Store API), or from any public product page address. SemPost only reads products, prices, stock, discounts and related catalogue data. It does not read your store's customers or orders.
- Content: SemPost writes post texts with AI, makes images (including AI scene pictures), slideshow videos and AI video clips, adds voiceovers, ambient sound and music from our library, and lets you edit them in Studio and Video Studio.
- Planning and publishing: the approval queue, the calendar, automation rules with safeguards, the first comment, links with tracking parameters and, where available, comment-to-DM.
- Networks: Instagram, Facebook, Threads, TikTok, Pinterest, LinkedIn, YouTube, Google Business Profile and Bluesky. X is not available.
- Analytics for your connected accounts, including posts made outside SemPost.
- AI models: you choose among the models we offer in Settings › AI models. Each model's credit cost is shown before you use it.
- Budget: owners and admins can cap daily and monthly credit spending in Settings › Budget. A job that would go over a cap does not start.
- Media: uploaded images (JPEG, PNG or WebP, up to 20 MB) and videos (up to 200 MB and 3 minutes) are re-encoded, and their metadata is removed. A workspace can upload up to 1 GB a day. The media library has a storage quota per plan.
- Some features are limited by plan (Section 13) or by region. For example, comment-to-DM is off by default and is only offered in the regions where we enable it.
10. Changes to SemPost
- We develop SemPost all the time. We may add, change or remove features, AI models, networks and integrations.
- Networks, Shopify, the gateway and AI providers sometimes change or withdraw what they offer at short notice, which can force us to change SemPost at short notice. We tell you as soon as we reasonably can.
- Business customers: we tell you at least 30 days in advance before a change that significantly reduces SemPost's main functions, unless a law, a security need or a provider forces a faster change.
- Consumers: beyond what is needed to keep SemPost working as agreed, we change it only for a valid reason (for example security, a change in the law or in a provider's service, or an improvement), at no extra cost to you, and after we have told you clearly. If a change affects your access to or use of SemPost more than in a minor way, we tell you by email in good time before it happens. You can then end the contract free of charge within 30 days of our notice or of the change, whichever is later, and we refund the part of your payment for the time you have not used. This right does not apply if we let you keep using SemPost without the change at no extra cost.
11. Test mode, approvals and publishing
Test mode. Every new workspace starts in test mode. In test mode, when a post's time comes, SemPost only checks it against the network's rules and marks it "Validated (test)". Nothing is published on your social accounts, and comment-to-DM is not set up. AI work in test mode is real work and uses credits.
Live mode. Owners and admins switch on live publishing on the Posts page (Publish mode). Every workspace can use live mode; it does not need our approval. We may stop live publishing for a workspace only as a measure under the Acceptable Use Policy. In live mode, posts whose time comes are published on your real social accounts. You can go back to test mode at any time; posts in the queue are then only checked.
Approval rule. Owners and admins choose which posts wait for approval, in Posts › Approval and planning:
- only what the AI and automation write (the default, and what we recommend);
- also what editors write; or
- none, so that AI content is also scheduled without a person looking at it. We do not recommend this, and the app warns you when you choose it.
Owners and admins approve posts. If an editor changes an approved post and the rule asks for approval, the post goes back for approval.
Network rules that always apply, whatever your approval rule:
- Pinterest and LinkedIn: every automation post waits for a person to approve it.
- TikTok: posts go to the TikTok app as drafts, and you finish and publish them there. In Studio you can choose direct posting for a TikTok account; you then set the post's privacy and disclosures yourself and confirm TikTok's declarations (Section 23).
- YouTube: automation uploads videos only with your specific consent on the rule (Section 12).
- YouTube channels: when you connect a channel, you confirm once that it does not publish content made for kids. We record this, and on every upload SemPost tells YouTube that the video is not made for kids.
- Google Business Profile: automation posts only with your specific consent on the rule (Section 12).
Timing. You cannot schedule a post in the past, less than 5 minutes ahead or more than one year ahead. Daily post limits per account and network apply. A post may wait ("Waiting for the network") while a network or the gateway is unavailable, and goes out when it recovers.
After a post is sent. Once SemPost has sent a post to a network, SemPost can no longer stop it or delete it from the network. Delete it on the network itself. Deleting a post in SemPost does not remove it from the network. If the connection breaks before the gateway answers, the post may already be published: SemPost does not send it again, so that it is not published twice, and asks you to check the account.
Failures. Publishing depends on the networks and the gateway. A post can fail, for example when a permission has expired or a network rejects the post. We email owners and admins when a post fails. We do not promise that a post will be published at a given time, or at all, or that a network will show it to anyone.
12. Automation
Automation rules create posts from your products without anyone pressing a button. You choose the products, accounts, days, times and content options. SemPost prepares each day's posts in advance (24 hours by default) and puts them in the approval queue, or straight on the calendar if your approval rule is "None". Event rules can also post when a new product arrives or a product is back in stock.
- Credits and caps: each rule needs a monthly credit cap. When the cap is reached, the rule waits until the next month. If your credits or your budget run out, the rule stops and we email owners and admins.
- Safeguards: automation
- writes only the current price. A post that claims an old price, a percentage discount or urgency is held as a draft, with the reason shown;
- checks the product again just before publishing, and sends the post back to drafts if the product is gone or out of stock (when the rule skips those), if the price has changed or if the discount code is no longer active;
- never publishes late: an automation post that still waits for approval 2 hours after its time expires;
- pauses an account in all rules after 3 failed automation posts in a row, and emails you;
- holds a second post that is too similar to another account's post on the same network, and spaces the same product at least 30 minutes apart across accounts;
- lets you pause all rules at once, block dates, and limit a rule to a start date or to certain months.
- YouTube consent: to add a YouTube account to a rule, you must tick this consent: "I consent to SemPost uploading this rule's videos to the YouTube account I chose automatically. I can stop the uploads at any time by taking the account out of the rule." We keep who gave the consent, when, and which version of the text.
- Google Business Profile consent: to add a Business Profile to a rule, you must tick a similar consent for automatic posts. We keep who gave it, when, and which version of the text.
- Your responsibility: the safeguards lower risk. They do not catch everything and they do not replace your review. You decide which rules run and what they publish.
- Plan limits: active rules count against your plan (Section 13). On the Agency plan, "unlimited" means fair use of up to 100 active rules.
13. Plans, trial and limits
Prices at the date of this version, in US dollars and before tax. The pricing page on www.sempost.ai, the Billing page and the payment page always show the current prices. The price you agree to when you pay applies.

|---|---|---|---|---|---|
| Price, monthly | free | US$29 | US$79 | US$159 | US$349 |
| Price, yearly (about 15% less) | — | US$300 (US$25 a month) | US$804 (US$67 a month) | US$1,620 (US$135 a month) | US$3,564 (US$297 a month) |
| Credits | 150 for the whole trial | 800 a month | 2,000 a month | 5,000 a month | 12,000 a month |
| Social accounts included | 2 | 2 | 5 | 10 | 25 |
| Stores | 1 | 1 | 2 | 5 | 15 |
| Seats (members and pending invitations) | 3 | 1 | 3 | 8 | 20 |
| Active automation rules | 2 | 2 | 10 | 30 | unlimited (fair use: 100) |
| Analytics history | 30 days | 30 days | 90 days | 12 months and "All" | 12 months and "All" |
| Media library | 1 GB | 1 GB | 5 GB | 10 GB | 20 GB |
- Extra social accounts: US$5 a month each (US$60 a year on a yearly plan), on top of the accounts the plan includes.
- Credit packs: 1,000 credits for US$12, 3,000 credits for US$33 and 10,000 credits for US$100, paid once and valid for 12 months.
- "All" in analytics means all the history SemPost has stored for an account. When you connect an account, SemPost reads up to 12 months back.
- On a yearly plan, credits are still loaded every month.
- In the Shopify app, plans are currently monthly only, at the same prices (Section 17).
Free trial:
- 7 days, free. On the web you do not give a card, and the trial never turns into a paid plan by itself.
- 150 credits and the limits in the table, with approvals on.
- One trial per account and per Shopify store. Only the first workspace opened with an account gets trial credits. A store that has had a trial does not get another one, even after the app is uninstalled and installed again; to check this, we keep a one-way digest of the store's ID, also after deletion.
- If you buy a plan during the trial, the trial ends and the plan starts at once. Your unused trial credits stay until the trial's original end.
- Credit packs cannot be bought during the trial.
- When the trial ends without a paid plan, generation, automation and publishing stop, your social accounts are disconnected 48 hours later, and your data stays as Section 28 describes.
- In the Shopify app, each plan starts with Shopify's 7-day free trial (Section 17).
Limits: when you reach a limit, you cannot add more (for example another social account) until you remove something or change your plan. We tell you before we apply the Agency plan's fair use limit.
14. Credits
What credits are for. Credits pay for AI and processing work, for example writing posts, making scene pictures and AI video clips, voiceovers and ambient sound. Scheduling, publishing, analytics and slideshow videos use no credits. As a guide, our credit prices are set so that one credit corresponds to about one US cent of work at our list prices; this is not a cash value.
You see the price first. Every action that costs credits shows the number of credits before you start it. If the job succeeds, exactly that number is deducted. If it fails, the reserved credits are released. If you try again, the new attempt costs credits again, and the button shows how many.
Kinds of credits and when they expire:
| Kind | How you get them | When they expire |
|---|---|---|
| Plan credits | Each monthly period of a paid plan (yearly plans also load credits monthly) | At the end of that monthly period. Unused plan credits do not carry over. |
| Trial credits | 150 at the start of the trial | At the end of the trial |
| Pack credits | When you buy a credit pack | 12 months after the purchase; days while the workspace has no open plan are not counted |
| Bonus credits | When we grant them, for example as a goodwill gesture | On the date we state, if we state one |
- Spending order: the credits that expire first are spent first; credits without an end date are spent last. In practice, plan credits are spent before pack credits.
- Expired credits are shown as "Expired" in your credit activity.
- No cash value: credits cannot be exchanged for money, sold, or moved to another workspace or person. Money is refunded only under Section 19, the Refund and Cancellation Policy or where the law requires it.
- Credits need an open plan: while a workspace has no open plan (because the trial ended, a payment failed or a subscription ended), no credits can be used, including pack credits. While the plan is closed, the 12-month period of your pack credits is paused, so they do not run out while you cannot use them. When you buy a plan again, your remaining pack credits can be used again. During the 3-day grace period after a failed payment, the credits you still have, including pack credits, remain usable for work you start yourself (Section 16).
- Refunds take credits back: when a payment is refunded in full or in part, we take back the same share of the credits that payment loaded, up to the credits of that batch you have not used yet. Credits you have already spent are not taken back. Your credit activity shows this as "Refund".
- Plan changes: when you upgrade, we add the difference in monthly credits for the rest of the current monthly period, rounded down, once the payment is received. When you switch from monthly to yearly, the rest of this month's plan credits expire, the new period's monthly credits are loaded, and if you used more credits this month than the time that has passed allows, the excess comes off the new period's credits. The app shows these numbers before you confirm.
- No negative balance: a job that needs more credits than you have does not start.
- Credit prices can change: the number of credits an action costs may change, for example when an AI provider changes its prices. A change applies only to actions you start after it. You always pay the number shown when you start.
- Corrections: we may correct credits that were added or deducted by mistake. Every correction appears in your credit activity with a reason.
15. Two ways to pay
Each workspace has one billing channel: the web, or Shopify.
On the web (app.sempost.ai), Link sells SemPost to you. Link (Stripe) is the merchant of record for subscriptions, extra social accounts and credit packs bought on the web:
- Link sells them to you, charges you, and calculates, collects and pays sales tax, VAT or GST in the countries it covers.
- Link sends the receipts and invoices. Your receipt says "Sold through Link", and your card statement shows "LINK.COM* SEMPOST".
- Link handles payment support, some refunds and card disputes, and requests to delete payment data.
- Link's own terms apply to the payment, including its Sold Through Link Terms: link.com/terms.
- We provide SemPost itself and are responsible for it under these Terms.
- In a few countries Link does not handle tax. There, the tax duties stay with us, and invoices may carry our company details.
- Link does not sell to customers in China, Cuba, Iran, Kosovo, North Korea, Russia, Syria, Ascension Island or Tristan da Cunha, so you cannot buy on the web from there.
In the Shopify app, Shopify bills you. If you installed SemPost from the Shopify App Store, Shopify charges your plan, credit packs and extra social accounts on your Shopify bill, under Shopify's terms. Section 17 explains this.
If you already pay on the web and install the Shopify app for your store, the store is added to your existing workspace and you keep paying on the web; installing does not charge you, unless Shopify's rules require otherwise.
16. Paying on the web
Who can buy: only the workspace owner buys plans, extra social accounts and credit packs. Credit packs require a paid plan.
Prices and tax: our prices are in US dollars and exclude tax. Link adds tax on the payment page, according to your country and whether you buy as a business; you can enter a tax ID there. The payment page may show the price in your currency; Link does the conversion, and your bank may charge its own fees. Section 19 explains how prices are shown to consumers.
Payment methods: card, Apple Pay, Google Pay, Link and the local methods Link offers in your country. You change your payment method under "Manage subscription" on the Billing page or in your Link account at link.com.
Automatic renewal. A paid plan is a subscription that renews automatically until you cancel it:
- It renews at the end of each billing period, every month or every year, as you chose.
- Each renewal is charged at the start of the new period to your saved payment method, at your subscription's price plus tax.
- You can cancel at any time online, with "Cancel subscription" on the Billing page or at link.com. Cancelling stops all future charges. The plan stays open until the end of the period you have paid for; we do not refund the rest of the current period, except where Section 19 or the law gives you a right to a refund.
- There is no minimum term beyond the period you have paid for.
- Renewal date: the Billing page shows the date of your next renewal, and your invoices show the period each payment covers.
- Reminder before a yearly renewal: 30 days before a yearly plan renews, we email the workspace's owners what renews, on which day, the amount before tax and how to cancel before then.
- Cancellation confirmed: when a subscription is cancelled, on the Billing page, in your Link account or by Link, we email the workspace's owners a confirmation with the day the plan ends.
- Price changes: we may change our prices. A change applies to an existing subscription only from a renewal at least 30 days after we have told you by email, and you can cancel before that renewal.
Changing your plan (Billing › "Change plan"; the app shows what you pay today, the credits you get now and your next renewal before you confirm):
- Upgrade: takes effect at once. The price difference for the rest of the period is charged to your saved payment method; if your bank asks you to approve it, Link's page opens. You get the credit difference described in Section 14.
- Monthly to yearly: takes effect at once. The new yearly period starts today; the unused part of the current month is deducted from the yearly price.
- Downgrade: takes effect at the end of the period you have paid for; nothing is charged or refunded now. Before you switch, remove the stores, members and pending invitations and active rules that are over the smaller plan's limits. Social accounts over the limit can be removed, or kept as extra social accounts at US$5 a month each from the renewal. Until the downgrade takes effect, anything new you add must fit the smaller plan. You can cancel a waiting change with "Take back the change".
- Yearly to monthly: takes effect at the end of the yearly period, on the same plan only. While this switch waits, no other change can be made.
- You cannot change your plan while the subscription is cancelled and running out, while a payment is overdue or while another change waits.
- If you pay a difference and the change can no longer be applied (for example because the plan changed in the meantime), we refund that payment.
Extra social accounts: when your plan's social accounts are all used, the owner can buy extra accounts for US$5 a month each (US$60 a year on a yearly plan). Before the purchase, a window shows what is bought, its price and how it is charged, and asks the owner to confirm that the extra account starts at once (Section 19.1). The share for the rest of the current period is charged at once. You can give back an extra account you no longer use with "Give one back"; it is not billed from the next renewal, and the rest of the current period is not refunded. An extra account that a connected account uses cannot be given back.
Credit packs: 1,000, 3,000 or 10,000 credits, paid once, plus tax. The credits are loaded when the payment is confirmed and are valid for 12 months.
If a renewal payment fails:
- Stripe tries the card again. We email owners and admins and show a banner in the app.
- For 3 days (a grace period we give once every 90 days), scheduled posts still go out and social accounts stay connected. Automation waits. You can still start work yourself with the credits you have, including pack credits. The new period's plan credits are loaded only when the payment arrives.
- If the payment has not arrived after 3 days, the plan closes: generation, automation and publishing stop, your data stays, and social accounts are disconnected 48 hours later. We email you.
- If a payment fails again within 90 days of a grace period, the plan closes at once.
- When the payment arrives, the plan opens again.
Refunds and disputes: see the Refund and Cancellation Policy. Stripe handles card disputes.
17. Paying through Shopify
- Plans: you choose and change your plan on Shopify's plan page, which SemPost opens for you. Plans are currently monthly only and cost the same as on the web. Charges appear on your Shopify bill.
- Free trial: each plan starts with a 7-day free trial and 150 trial credits, once per store. Shopify counts trial days per store and plan over 180 days, so reinstalling the app does not give a new trial. When the trial ends, Shopify adds the plan's price to your Shopify bill.
- Credits: the plan's monthly credits are loaded at the start of each Shopify billing cycle. When you upgrade during a cycle, you get the credit difference for the rest of the cycle.
- Credit packs and extra social accounts: the owner buys them in SemPost. We send the charge to Shopify, which adds it to your Shopify bill; pack credits are added at once and are valid for 12 months. An extra social account is charged US$5 for the current cycle and then every cycle until you give it back; the cycle in which you give it back is not refunded. These purchases are not possible during Shopify's free trial or when your subscription ends with the current cycle. Pack purchases are limited per billing cycle (US$300 by default; we may change this limit).
- Downgrades: Shopify applies them at the end of the billing cycle. Stores, members and rules above the new limits stay, but you cannot add new ones until you are within the limits.
- Cancelling: cancel on Shopify's plan page or uninstall the app. When you uninstall, the plan closes; Section 28 explains what happens to your data.
- Refunds: charges made through Shopify can only be refunded through Shopify. If you think a charge is wrong, contact us (Section 42); we handle it through Shopify's billing and never through another payment method.
18. Cancelling
On the web, the owner cancels:
- on the Billing page with "Cancel subscription", which opens Stripe's secure page (you may give a reason, which Stripe keeps);
- under "Manage subscription" on the Billing page; or
- in the Link account at link.com.
Cancellation takes effect at the end of the period you have paid for. We email the workspace's owners a confirmation with the day the plan ends. Until then, the plan and its credits remain available. Before that date you can take the cancellation back under "Manage subscription". When the period ends, the plan closes: no new credits are loaded; generation, automation and publishing stop; social accounts are disconnected 48 hours later; and your data stays as Section 28 describes. Pack credits cannot be used while the plan is closed; their expiry is paused for that time, and they can be used again if you buy a plan again.
We do not refund the rest of a period you have paid for, except as Section 19 or the Refund and Cancellation Policy provides. If you delete the workspace, the subscription ends at once, without a refund for the unused part of the period (Section 28).
In the Shopify app, see Section 17.
19. If you are a consumer
This section applies to you if you are a consumer. It adds to or replaces other parts of these Terms. Nothing in these Terms takes away rights you have under consumer law that cannot be waived.
19.1 Right of withdrawal (EU, EEA and UK). You may withdraw from a purchase within 14 days of the day you make it, without giving a reason.
- Starting at once: a paid plan and an extra social account start as soon as you pay, and a credit pack's credits are added at once. Before you pay, you tick a box: for a plan or an extra social account, that you want it to start at once and that, if you withdraw within the 14 days, you pay for what you used until then; for a credit pack, that you want the credits added at once and that your right of withdrawal ends for the credits you use . We record this, and the email confirming your purchase repeats it (Section 6).
- Subscriptions: if you withdraw, we refund what you paid, minus an amount in proportion to what we provided until you told us: the larger of the share of the billing period that has passed and the share of that period's plan credits you have used, multiplied by the price paid.
- Extra social accounts: if you withdraw, we refund what you paid for the extra account, minus the share of the time it was paid for that has passed until you told us, and remove it from your subscription.
- Credit packs: you can withdraw from a pack within 14 days. Your right of withdrawal has ended for the credits you have used, so we refund the price of the pack's credits you have not used; if you have used none, you get the full price back.
- How to withdraw in the app: on the Billing page, every purchase made on the web shows "Withdraw from contract here" until its withdrawal period ends (the end of the 14th day after the day of the purchase). You give or confirm your name, check which contract it is and the email address we write to, and select "Confirm withdrawal". We email you an acknowledgement of receipt at once, with what you sent us and the date and time we received it. The function is for the workspace's owner, who made the purchase, and stays available while the workspace waits for its deletion.
- Other ways to withdraw: you can also tell us with a clear statement by email to [email protected] or by post to CS Digital Wonders LLC, 30 N Gould St Ste N, Sheridan, WY 82801, USA. You may use the model form in the Refund and Cancellation Policy, but you do not have to. You can also ask Link's support.
- What happens: when you withdraw from a plan in the app, its subscription ends at once and the plan closes; when you withdraw from a credit pack, the pack's unused credits are taken back at once.
- Refund: within 14 days of receiving your notice, to the payment method you used, without fees. We make it through Link, which sends you the refund's receipt. The credits that payment loaded are taken back as Section 14 describes.
- The withdrawal right does not apply to the free trial, which you do not pay for.
19.2 Consumers in Turkey. The Turkish Ön Bilgilendirme Formu (pre-contract information) and Mesafeli Hizmet Sözleşmesi (distance service contract) also apply to you. The window before you pay links to them, and a separate box in it asks you to confirm that you have read the pre-contract information form and have read and approve the distance service contract; without it the purchase cannot go ahead. We record your confirmation with the documents' version and the time, and the Turkish email confirming your purchase links to them and repeats it . The box is asked whenever a purchase may be a consumer's in Turkey: the workspace's country is Turkey, or you use SemPost in Turkish. Where those documents differ from these Terms, they prevail. Turkish law excludes the right of withdrawal for services that start with your approval before the withdrawal period ends, and for services performed instantly in electronic form, unless the parties agree otherwise. We agree otherwise: you can withdraw within 14 days on the terms of Section 19.1, as those documents explain.
- Ending your subscription early: you can end your subscription at any time, without giving a reason and without a penalty. "Cancel subscription" ends it at the end of the period you have paid for. If you want it to end earlier, write to [email protected]: we end it within 7 days of receiving your message, and within 15 days after it ends we refund the part of your payment for the time not used, taking back the matching credits as Section 14 describes.
- Yearly plans: a yearly plan is a subscription of indefinite term that you pay for one year at a time. The Billing page shows the date of your next renewal, your invoices show the period each payment covers, and we email you 30 days before each yearly renewal (Section 16).
- Termination confirmed: we confirm the end of your subscription by email, whether you cancel on the Billing page, in your Link account or by writing to us.
19.3 SemPost must work as agreed. The law gives you rights if SemPost does not conform to the contract. In the EU you can ask us to bring it into conformity and, if we do not, ask for a price reduction or end the contract; we are responsible for faults that appear during the time we supply SemPost. In the UK, the service must be provided with reasonable care and skill. In Turkey, if the service is faulty, you may ask for it to be performed again, for the price to be reduced or for the contract to be ended, and you may claim damages (Law 6502, Articles 13 and 15). These rights apply in addition to these Terms.
19.4 Your law and your courts. If you live in the EU, the EEA, the UK or Turkey, you keep the protection of the mandatory consumer law of the country where you live, whatever Section 39 says. You can bring proceedings in the courts of your country, and we can only bring proceedings against you there. Consumers in Turkey can apply to the Consumer Arbitration Committee (Tüketici Hakem Heyeti) or the Consumer Court (Tüketici Mahkemesi) where they live, within the monetary limits set each year.
19.5 Prices. The prices on our pages exclude tax. Link's payment page shows the total including tax before you pay.
19.6 Automatic renewal and cancelling online. The renewal terms in Section 16 apply. You can cancel online at any time, in the same place where you bought. We remind you by email 30 days before a yearly plan renews, and we confirm every cancellation by email.
19.7 Unfair terms. If a term of these Terms is unfair under the consumer law that applies to you, it does not bind you; the rest of the Terms still applies.
20. Your content and the licence you give us
You own Your Content. We claim no ownership of it.
Licence to us. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process and adapt Your Content and to send it to the service providers we use, only so far as needed to provide SemPost to you and as you instruct, and to keep records the law requires. "Adapt" includes resizing, cropping, re-encoding, translating and adding your logo, text or end card. Our service providers (listed on the Subprocessors page) may use Your Content only for the same purpose. The licence ends when Your Content is deleted, except for copies in backups until they are overwritten and for posts you have already published on networks.
AI training. SemPost does not train AI models on Your Content. We send Your Content to AI providers only to carry out your request. Under their commercial terms, Anthropic (Claude) and Google (the paid Gemini API) do not use it to train their models. fal.ai, which runs our AI video clips, ambient sound and a fallback image model, handles it under its terms of service for business customers.
No marketing use of Your Content or of your posts, for example on our website, without your permission.
Your promises. You confirm that you have the rights to Your Content and that using it in SemPost and publishing it is lawful. This includes product photos, logos, music, and the consent of people who can be recognised in your images, videos or voice recordings.
Uploads. SemPost re-encodes uploaded images and videos and removes their metadata, including location data and any Content Credentials (C2PA) they carry. SemPost cannot tell by itself whether a file you upload was made or changed with AI outside SemPost. If it was, mark it as "Made with AI" when you upload it: SemPost then adds its own Content Credentials and switches on the network's AI label when the file is published. You remain responsible for disclosing AI use where the law or a network's rules require it.
Access by our staff. Our authorised staff access Your Content only when needed to help you at your request, to investigate abuse or security problems, or to comply with the law. Changes they make in your workspace appear in its audit log as "SemPost support".
Backups. Deleted content may stay in our encrypted database backups for up to about 4 weeks, until they expire. We do not use it for anything else meanwhile.
Feedback. If you send us ideas or suggestions, we may use them without any duty to you.
21. AI outputs
Rights in Outputs. As between you and us, Outputs belong to you, to the extent that any rights exist in them. We transfer to you any rights we may have in Outputs. Outputs made mainly by AI may not be protected by copyright in some countries, so we cannot promise that you can stop others from copying them. Templates, fonts, music and other material from our library that appear in an Output are licensed to you for use as part of that Output.
Not unique. AI can produce the same or similar results for other customers. Outputs are not exclusive to you.
Check before you post. AI makes mistakes. Before you publish an Output, check it: product names, prices, discounts, claims, text inside images, how the product looks, and any people shown. You are responsible for Outputs you publish, and for any claims in them.
AI labels and Content Credentials.
- When a post carries a file that contains AI-made material, SemPost switches on the network's AI label where the network offers one. This includes a video with a SemPost Music track made with AI, and a file you marked as "Made with AI" when you uploaded it.
- SemPost does not label text written with AI. Where the law or a network requires a disclosure for such text, add it yourself.
- SemPost signs AI files with Content Credentials (C2PA), which record that SemPost made them and that AI was involved. Our signing certificate comes from our own root, which is not on the C2PA trust list.
- Some AI providers add their own marks or invisible watermarks, such as Google's SynthID. We do not remove them on purpose.
- You must not remove, hide or change Content Credentials, watermarks or AI labels, and you must not present AI material as made by people where the law or a network's rules require disclosure. The AI Content Policy explains your duties, including those under the EU AI Act and the Turkish advertising rules.
- Under the EU AI Act, SemPost marks AI outputs as their provider; you disclose deepfakes and AI use in your own posts and ads as their deployer.
People in AI images. People in AI scenes are synthetic. Do not present them as real customers, reviewers or endorsers, and do not use AI to make a real person appear to recommend a product.
Limits from AI providers. Some AI models come with their providers' usage rules, for example a ban on presenting output as made by a human. Where we tell you about such rules in the app or in the AI Content Policy, they apply to you.
22. Product pages and data from other sites
- When you give SemPost a product page address, SemPost reads that public page and up to two related addresses on the same site, identifying itself as "SemPostBot/1.0". It reads only public https addresses.
- Use only pages you own or have permission to use. Their photos and texts belong to their owners. By adding an address, you confirm that you own the page or have permission to use its content in this way, and that you follow the site's terms.
- SemPost refuses Etsy pages, because Etsy's rules forbid reading its pages.
- Your claims are your responsibility. Prices, discounts, stock, product features and other claims in your posts must be true and lawful where you publish them; under Turkish law, the advertiser must be able to prove its claims. Discount rules differ between countries (for example, which earlier price may be shown as the "before" price).
23. Social networks
- The networks' terms apply. When you connect a social account and publish through SemPost, you must follow that network's terms and policies. By using SemPost with YouTube, you agree to be bound by the YouTube Terms of Service. The Platform Terms list the rules of each network that matter in SemPost, for example that each Pinterest and LinkedIn automation post needs your approval.
- How the connection works. SemPost connects to networks through the gateway, Zernio. When you connect an account, the network's permission screen shows Zernio's app, because Zernio holds the connection and publishes on our instructions. SemPost does not store your network passwords or access tokens. You can remove an account in SemPost, and you can withdraw permissions in the network's own settings.
- Analytics. When you connect an account, SemPost reads its statistics, including for posts you made outside SemPost, up to 12 months back, and then updates them hourly.
- Networks decide. Networks may limit, hide, remove or reject posts, suspend accounts, or change or close their APIs. We are not responsible for what a network does, and such changes may limit or end features of SemPost.
- TikTok. SemPost adds no logo, watermark, end card or promotional text to content it sends to TikTok, because TikTok's rules forbid it. For direct posting you choose the privacy setting and the commercial content disclosure yourself, and you agree to TikTok's Music Usage Confirmation and, for branded content, its Branded Content Policy.
- Comment-to-DM (Instagram and Facebook; off by default; only in regions where we offer it): a person who comments with your keyword gets one private message. You are responsible for these messages complying with the rules on electronic marketing, consent and data protection where you and the recipients are. SemPost does not keep the list of people who received a message; the gateway does, under Zernio's privacy policy.
24. Music
- Platform music. In Studio you can add a track from Instagram's music library to a Reel (this needs an Instagram account connected through Facebook login). SemPost only sends the track's identifier, and Instagram adds the audio. For TikTok direct posts you can pick a track from TikTok's commercial music library. Platform music is licensed by the network to the account holder under the network's terms, not by us. Networks can withdraw tracks or mute posts; a post with a withdrawn track may fail.
- SemPost Music library. Tracks from our own library, which we make or select, are licensed to you only as part of videos made in SemPost and published on networks where the library is available. You may not take a track out of a video or use it on its own. Videos you published while you were a customer stay licensed after your subscription ends.
- Claims. If someone claims rights in a library track (for example through YouTube Content ID), we may replace or withdraw the track. We can find the videos that used it and will tell you, and you may need to replace or remove a published video.
- You cannot upload your own music to SemPost.
25. Acceptable use
You must follow the Acceptable Use Policy. Among other things, you must not use SemPost:
- for unlawful content or products, or products the networks or Link do not allow;
- for spam or unsolicited messages, including through comment-to-DM;
- for fake reviews, AI "customers" or undisclosed advertising;
- for misleading prices or discount claims;
- for deepfakes of real people, or to remove AI marks;
- to infringe intellectual property or privacy rights;
- to manipulate networks or break their rules; or
- to attack, overload, scrape or reverse engineer SemPost.
26. How we moderate content
This section is our statement under Article 14 of the EU Digital Services Act.
What we restrict. Illegal content and content that breaks these Terms, the Acceptable Use Policy or the AI Content Policy.
How we learn about it. Through notices from anyone, sent by email as described on the Copyright and notices page; through reports from networks, Shopify, Link and our service providers; and through our own checks.
Tools we use, including automated ones:
- the AI models we use apply their own safety rules and may refuse a request;
- automation safeguards hold some posts as drafts for a person to review (Section 12); they check quality and legal risks in your own posts and do not judge you;
- uploads are checked for file type and size and re-encoded;
- SemPost refuses to read pages from sites whose rules forbid it, and addresses that are not public.
Human review. A person decides on removing content, restricting features or suspending accounts, and reviews any complaint.
What we may do: remove or disable content in SemPost; stop a scheduled post; pause automation or features such as comment-to-DM or live publishing; suspend or close a workspace or account (Section 27).
Statement of reasons. When we restrict your content or account, we tell you what we did and why, which law or term it is based on, whether automated means were involved, and how you can challenge it, unless the law forbids this or it would put security or an investigation at risk.
Complaints. Reply to our message or write to [email protected]. A person reviews your complaint and answers within 14 days. You can also go to court.
Content you publish on networks is also moderated by those networks under their own rules.
27. Suspension and termination
We may suspend or restrict your access, a workspace or a feature:
- at once, where needed because of illegal content, a serious or repeated breach of these Terms, a security risk, fraud or payment abuse, an order from an authority, or a risk to SemPost's access to a network; or
- otherwise after we have told you about a breach and given you a reasonable time to fix it.
While a workspace is suspended, nothing is published and its automations and comment-to-DM are paused. We lift the suspension when the reason is gone.
We may end the contract for a serious breach, or if we stop offering SemPost. If we end it for a reason that is not your breach, we give you at least 60 days' notice and refund the part of your payment for the time you have not used.
You may end the contract at any time by cancelling your subscription (Section 18) and deleting your workspace or account (Section 28). Deleting a workspace ends a running web subscription at once, without a refund for the unused part of the period; before you confirm, the deletion screen tells you this and how many days of the period are left. Consumers keep the refunds the law gives them (Section 28).
Reasons and your data. We tell you the reasons (Section 26). Unless the law forbids it or the data is itself illegal, you can still download your data for at least 30 days after we end the contract.
After the end, publishing and automation stop, social accounts are disconnected, and your data is deleted as Section 28 describes. Sections that by their nature should continue (for example Sections 20, 21, 31 and 34 to 41) continue to apply.
28. Deleting your account or workspace, and how long we keep data
Deleting your account (Settings › Profile on app.sempost.ai, for every user) : you confirm with your password and, if you use two-factor authentication, your two-step code. If you are an owner of a workspace, you must first hand ownership over to someone else or delete that workspace. An account opened from Shopify has no password yet: set one first with "Set a password" on the same page. The deletion takes effect at once and cannot be undone.
Deleting a workspace (Settings › Workspace, owners only) :
- You type the workspace's name and confirm your identity.
- A running web subscription ends at once, not at the end of the period, and the unused part of the period is not refunded. Before you confirm, the deletion screen tells you this and how many days of the period are left. Unused credits are lost. Rights the law gives consumers are not affected: if you are within the 14-day withdrawal period (Section 19.1), or you are a consumer in Turkey (Section 19.2), write to [email protected] and you get the refund described there.
- A workspace billed through Shopify is deleted by uninstalling the app in the Shopify admin (see below). If the workspace pays on the web but SemPost's Shopify app is installed in it, uninstall the app first; you can then delete the workspace here.
- At once, the workspace closes: publishing, automation and generation stop.
- For 7 days you can take the deletion back. During these days the social accounts stay connected to the gateway, so you do not need to connect them again if you take the deletion back. The cancelled subscription does not come back: to continue, you subscribe again. After the 7 days we delete the workspace permanently, and its social accounts are disconnected.
What permanent deletion removes : the workspace and everything in it (posts, media and all files we store for it, stores, social account data, automation rules, analytics, brand settings and credits), its profile at the gateway, and the users who belong to no other workspace. In the audit log, the IP addresses and browser details of deleted people are erased.
What we keep after deletion : the audit log, the credit activity, the history of post events and billing alerts, which identify the workspace only by a number. We keep them for accountability and the records the law requires. Link and Shopify keep their own records under their own terms. Encrypted backups are overwritten in about 4 weeks.
Shopify app. When you uninstall the app, the store's connection to SemPost is removed, and the plan closes if the workspace pays through Shopify. About 48 hours later Shopify sends us a deletion request. We then permanently delete the workspace if the installation created it and it has no web billing; otherwise only that store's connection goes. This deletion cannot be undone.
Inactive workspaces. If a workspace has no open plan, for whatever reason (for example, the trial ended, the subscription was cancelled or a payment failed), and no member signs in or does anything in it for 150 days, we email its owners; if that is still the case on day 180, we delete the workspace . Social accounts of a workspace without an open plan are disconnected 48 hours after the plan closes; their name, picture and statistics stay as long as the workspace exists, except where a network's rules require earlier deletion (YouTube, Google Business Profile and LinkedIn) .
Other retention periods : when you disconnect a social account, data received from LinkedIn is deleted at once, and for the other networks the account's name, picture and statistics are deleted after 7 days; statistics from YouTube and Google Business Profile are never older than 30 days; media files you do not keep in the library are deleted 30 days after they were last used, and the trash is emptied after 30 days; library files stay until you delete them. The Privacy Policy lists every retention period.
29. Downloading your data and switching to another provider
Download your data :
- Workspace export (owners and admins): a ZIP file with the workspace, members (name, email address, role), invitations, store connections (without secret keys), social accounts, posts (text, time, status, link), automation rules and their history, analytics, credit activity, brand settings and the audit log, plus a list of your media files with download links valid for 24 hours.
- Personal export (every user): your profile, your memberships, your sessions, the sign-in attempts made with your email address, your consent records and the audit log entries of what you did.
- Exports are prepared in the background. We email you when yours is ready, and you download it in SemPost (Settings › Workspace or Settings › Profile) within 24 hours; after that, the file is deleted. You can request an export once a day.
- Data is in JSON format, and media files are in their own formats.
- Not included, because they are secret or part of how SemPost works internally: store keys and access tokens, gateway keys, and our cost and processing records.
Switching (EU Data Act):
- You can tell us at any time that you want to move to another provider or to your own systems, or that you want your data erased. We start at once; you do not need to give more notice.
- For up to 30 days (the transition period), your contract continues so that you can export everything, and we help you with reasonable assistance by email, keep the service secure and tell you about known risks to continuity.
- After that, your data stays available for download for at least 30 more days. Then we delete it as Section 28 describes.
- The contract ends when the switch is complete or, if you chose erasure, when the data is erased.
- We do not charge for switching.
30. Availability and support
- We work to keep SemPost available and secure, but we do not promise that it will run without interruption or errors. We do not offer a service level agreement.
- SemPost depends on networks, the gateway, Shopify, Link, AI providers and hosting providers. When they are down, parts of SemPost may not work.
- We may pause SemPost for maintenance. Where possible, we do this at quiet times and tell you in advance.
- Support is by email at [email protected], in English and Turkish. Response times we publish are targets, not commitments. Questions about a web payment can also go to Link's support.
- Features marked as beta or preview may change or stop, and may not work as expected.
31. Confidentiality
- We keep Your Content and your business information confidential. Only staff and service providers who need them to provide SemPost have access, and they are bound to confidentiality.
- If we give you non-public information about SemPost, for example about security, you keep it confidential.
- These duties do not cover information that is public, that the other party already had, or that the law or an authority requires to be disclosed (in that case, we tell you if the law allows).
32. Personal data
- How we handle personal data: Privacy Policy, KVKK Information Notice, Cookie Policy and Sub-processors.
- We are the controller for accounts, billing, security and our own communications. For the personal data in Your Content (for example people in your photos, people who receive comment-to-DM messages, or your team's data in posts), we act on your behalf as processor.
- Business customers: the Data Processing Agreement applies to this processing. You are responsible for having a legal basis for personal data in Your Content and for informing the people concerned.
- SemPost does not read your Shopify store's customers or orders.
33. Our rights in SemPost
- SemPost, its software, design, texts, templates and brand belong to us or our licensors. While the contract runs, you may use SemPost under these Terms; you get no other rights.
- You may not copy, sell or rent SemPost, scrape it, or take its code apart, except where the law allows this despite these Terms.
- Instagram, Facebook, Threads, YouTube, Google Business Profile, TikTok, LinkedIn, Pinterest, Bluesky, Shopify, WooCommerce and Link are trademarks of their owners. SemPost is not affiliated with or endorsed by them.
34. What we promise and what we do not
- We provide SemPost with reasonable care and skill and as these Terms describe.
- Beyond that, and to the extent the law allows, SemPost is provided as it is and as available. We do not promise particular results (such as reach, followers or sales), that Outputs will be accurate, original or suitable for a particular purpose, that networks will accept or show your posts, or that SemPost will be free of errors.
- If you are a consumer, your rights under Section 19 and under consumer law are not affected.
35. Liability
- Business customers:
- Neither party is liable for indirect or consequential loss, such as lost profit, lost revenue, lost goodwill or lost data that could have been restored from your own copies.
- Our total liability for all claims in any 12 months is limited to the amount paid for SemPost (to Link or Shopify) in the 12 months before the event that caused the claim, or US$100 if that is more.
- Consumers: we are liable under the law of your country. We are not liable for losses that were not foreseeable when the contract was made, or that you caused by breaking these Terms.
- For everyone: these limits do not apply to liability for intent or gross negligence, for death or personal injury, for fraud, or to any liability that the applicable law does not allow to be excluded or limited, for example under Article 115 of the Turkish Code of Obligations.
- We are not responsible for what networks, Shopify, Link or other services you use with SemPost do under their own terms. This does not limit our responsibility for the service providers we use to provide SemPost.
36. Claims about your content (business customers)
If you are a business customer, you will defend us and compensate us for losses from third-party claims that arise from Your Content or your posts (including claims about intellectual property, personal data, advertising, product claims or messages), from your use of SemPost in breach of these Terms or the law, or from your breach of a network's terms. We tell you about such a claim promptly, let you control its defence and cooperate with you. This section does not apply to consumers.
37. Sanctions and export rules
You confirm that you are not subject to sanctions and are not acting for anyone who is, and that you will not use SemPost in breach of sanctions or export control laws. We may refuse or end the service where sanctions apply. In this section, sanctions and export control laws mean those of the United Nations, the European Union, the United Kingdom, the United States and Turkey.
38. Changes to these Terms
- Material changes: we tell account holders by email at least 30 days before they take effect, or with shorter notice where a law or security requires a faster change. From the day a material change takes effect, SemPost asks you to accept the new version before you go on using the app at app.sempost.ai; until you do, only the Billing page and your profile open, so you can still cancel your subscription, download your data or delete your account. In the Shopify app, a notice at the top of every page shows the new version and you accept it there, without an extra sign-in step. If you do not accept a change, you can stop using SemPost and cancel; a change that is to your disadvantage does not bind you without your acceptance.
- Other changes (for example corrections, clarifications or new optional features) take effect when we publish them, and are listed in the "Changes" table. They do not ask for a new acceptance.
- We keep each accepted version together with the time and the way you accepted it .
39. Governing law and courts
- These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
- Business customers: the state and federal courts located in the State of Wyoming have exclusive jurisdiction.
- Consumers: Section 19.4 applies.
40. Language
These Terms are available in English and in Turkish, with the same content. For customers who live or are established in Turkey, the Turkish version governs; for everyone else, the English version governs.
41. Other legal terms
- Whole agreement: these Terms, with the documents Section 2 names, are the whole agreement about SemPost. For consumers in Turkey, the Turkish pre-contract information and distance service contract take precedence (Section 19.2). For business customers, the Data Processing Agreement takes precedence on personal data.
- Transfer: we may transfer the contract to a company in our group or to a buyer of SemPost; we tell you, and your rights are not reduced. You may transfer it only with our written consent.
- Events beyond control: neither party is responsible for a delay or failure caused by events it could not reasonably control, such as outages of networks or providers, attacks, natural disasters or acts of authorities.
- Severability: if a provision is invalid, the rest stays valid, and the invalid part is replaced by a valid one that comes as close as possible to its purpose, where the law allows.
- No waiver: if we do not enforce a right at once, we do not give it up.
- Notices: we send notices to the email address of your account; some also appear in the app. You send notices to [email protected].
- Evidence (business customers): our system records, such as the audit log and credit activity, are evidence unless proven otherwise.
- No third-party rights: no one other than you and us can enforce these Terms.
